These Terms of Service ("Terms") govern access to and use of the Quantara Flow AI service ("Service") provided by Quantara AI ("we", "us"). By creating an account or using the Service you agree to these Terms.
1. Accounts and access
You must be at least 18 years old and authorised to bind the entity you represent. You are responsible for all activity under your credentials and for maintaining their confidentiality. Provide accurate information and keep it up to date.
2. Acceptable use
You will not: (a) reverse engineer the Service; (b) upload unlawful, infringing or malicious content; (c) attempt to circumvent tenant isolation, security controls or rate limits; (d) use the Service to send unsolicited communications in breach of anti-spam law; (e) scrape, probe or interfere with the Service or other tenants.
3. Customer data and privacy
We process customer personal data on your behalf under the Data Processing Addendum. Our handling of your personal data as a controller is described in the Privacy Policy.
4. Payments, billing and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax collection, subscription management, cancellations and refunds are governed by the Paddle Checkout Buyer Terms. Fees are billed per the plan you select on /pricing.
5. Refunds
Our refund practices are described in the Refund Policy. Refunds are processed by Paddle as Merchant of Record.
6. Service level and support
We target a monthly uptime of 99.9% for paid plans, measured excluding scheduled maintenance and force majeure. There is no guarantee that the Service will be uninterrupted or error-free.
7. AI outputs
The Service uses generative AI to draft replies, classify cases and produce reports. Outputs may be inaccurate and are not a substitute for professional judgement. You remain responsible for reviewing AI-generated content before sending it to customers or acting on it, for the prompts you submit, and for ensuring you have rights to any content you input.
8. Intellectual property
We retain all rights in the Service, including software, documentation and branding. You retain all rights in Customer Data. You grant us a limited, non-exclusive licence to host and process Customer Data solely to provide and improve the Service, subject to the DPA. You may not resell or redistribute the Service.
9. Warranties and disclaimer
The Service is provided "as is" to the extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
Our aggregate liability for any claim arising out of the Service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or loss-of-profit damages. Nothing in these Terms excludes liability for fraud, death or personal injury where prohibited by law.
11. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations. Either party may terminate for material breach not cured within 30 days of written notice. On termination we will retain your data for 30 days for export, then delete it subject to legal retention obligations.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Quantara AI is established, with exclusive venue in its competent courts.
